Abstract

Abstract: With the passage of Law No. 15/20 and the amendment of the provisions of the commercial law, whose amendments have been violated by the provisions of the company with limited liability only, and in some respects, economic and social reasons are the main motives for this amendment, and the dependence of Algerian legislation on the French is another factor, since the provisions of this amendment are the same as the latter. Therefore, I try in this research to analyze the texts of this amendment paragraph by paragraph, to see whether the controversy over the nature of this company was completed by the legislator in this legislation or not, especially since it touched the essence of the company from an amendment in its capital, in the subscription as well as in the quality of the shares provided and even the number of partners, to realize in the end that this amendment kept this company to its mixed nature, with negative practical effects when concluding its founding contract, because the amendment as we said earlier is governed by political and economic calculations.
