Abstract

Negotiation is vital in electronic sales contracts to benefit both parties. It involves discussions, proposals, and opinions on the service or item. This stage has legal implications, with obligations on the seller and buyer. Good faith and sincere engagement are key, leading to derivative obligations. While civil liability isn't automatic upon negotiation abandonment, online negotiations without physical presence pose risks. Thus, establishing civil liability, contractual or based on negligence, is necessary for breaching agreed obligations.
